TRADE DISCOUNT TERMS AND CONDITIONS
Introduction - These terms and conditions (the "Agreement") govern the processes, approvals, and eligibility for the trade discount offered by David Fry, (Shire Oak)
Eligibility - To be eligible for the trade discount, you must:
(a) be a [B2B, Business to a customer or a registered business, (b) meet the Company's sales criteria as specified by the Company from time to time; (c) be a resident within the UK; (d) Comply with this Agreement as amended from time to time.
Application Process To apply for the trade discount, you must complete and submit the Company's online application form or other methods provided. The Company may request additional information and documentation from you to verify your eligibility for the discount, including your proof of identity, financial status, creditworthiness, and legal status. You agree to provide the Company with accurate and complete information and to inform the Company of any changes to your circumstances that may affect your eligibility for the discount. The Company reserves the right to reject any application for any reason.
Discount Rates - The Company will determine the discount rates for products or services on offer, and these may be revised periodically in the Company's sole discretion.
Payment terms - The payment terms for trade discounts shall be determined by the Company, and you will abide by such payment terms. The trade discounts shall not be combined with other promotions or discounts without the Company's prior written consent.
Order terms - The order terms are decided by Shire Oak and these are that any order which is claiming the trade discount will need to be fully conducted by the person/s and or company who originally applied for the trade discount, therefore discount codes may not be shared or used by any other company or person/s under any condition and the payment for an order claiming the discount will need to be fulfilled by the original applicant.
Termination - The trade discount may be terminated or suspended by the Company at any time without prior notice for any reason. The Company retains the right to examine and audit any transactions made using the trade discount.
Confidentiality - All documents, information, trade secrets, and other proprietary information exchanged between the Company and the Customer will be considered confidential and will only be used for the purpose of business relations. Each party will protect the other party's confidential information with the same degree of care it uses for its confidential information.
Governing Law and Jurisdiction - This Agreement shall be governed by and construed in accordance with the laws in the UK and the parties agree to submit to the exclusive jurisdiction of the courts of the UK.
By applying for the trade discount, you agree to be bound by these terms and conditions. The Company reserves the right to amend, modify or replace this Agreement at any time. If any provision of this Agreement is held invalid, the remainder of the Agreement shall remain in full force and effect.
